Who Owns rhode? e.l.f. Beauty Paid Nearly a Billion Dollars, and the Brand Is Now Inside 500 Sephoras in Europe.

e.l.f. Beauty bought rhode on August 5, 2025 for 800 million dollars in cash and stock plus up to 200 million in earnouts, a deal of up to a billion dollars for a brand doing 212 million dollars in sales the prior year. On September 30, 2026 rhode opened in 19 European countries at more than 500 Sephora stores. Hailey Bieber kept her titles.

rhode has become e.l.f. Beauty's most expensive case study.

For three years rhode read as the opposite of its new parent. It's a short, grey, 20 dollar line sold almost entirely from one website, built around a famous face and a four product shelf. e.l.f. sold 1 dollar lipsticks at Target. Then on May 28, 2025, e.l.f. said in a statement it was buying rhode for 800 million dollars at close plus up to 200 million in earnouts, with the closing 8 K filed with the SEC on August 6, 2025. For 12 months of net sales of 212 million dollars, the headline worked out to about 3.8 times revenue. Fourteen months later, on September 30, 2026, that same brand opened in Belgium, France, Germany, Italy, Spain and 14 more European markets, inside more than 500 Sephora stores. The brand I kept scrolling past on Instagram is now on a shelf in Lyon.

I wrote this because I didn't know. I don't think most people do.

Why did e.l.f. pay this much for rhode?

e.l.f. didn't pay for ingredients. It paid for a growth curve. The May 28, 2025 release reported rhode's trailing 12 month net sales at 212 million dollars through March 31, 2025, up from about 60 million dollars the prior fiscal year. That's tripling in a year with four or five SKUs. e.l.f. itself was already the fastest growing mass beauty brand in dollar terms. Still, Tarang Amin, e.l.f.'s chair and chief executive, said in the May 2025 release that rhode gave it something no e.l.f. SKU had: a founder a younger cohort would follow before it ever shopped e.l.f.

The structure of the deal says the same thing in money. The company said the price was 800 million dollars at closing: 600 million in cash and 200 million in stock, which came out to about 2.6 million e.l.f. shares at 77.17 each. On top of that, up to 200 million in earnouts over three years, paid in two 100 million tranches tied to revenue targets rhode has to hit. The 8 K at closing, filed August 6, 2025, lists an adjusted closing consideration of 897.5 million dollars. The clean price is 800 million. The headline is a billion. The last 100 million of that is still conditional.

Hailey Bieber kept her titles. She is still rhode's founder, chief creative officer and head of innovation. She is also now a strategic advisor to e.l.f. itself. The company said in the same release that she would keep running creative and product. The names on the back of the packaging didn't change. The company that cashes the check did.

Is a 20 dollar lip balm from a public company worth it?

Here is the uncomfortable half. The product that put rhode on the map, the Peptide Lip Treatment, sells for 20 dollars for 10 millilitres. Vaseline sells for about 4 dollars for 50 grams. Aquaphor's lip repair sells for about 5 dollars for 10 millilitres. rhode's own ingredient list opens with Hydrogenated Polyisobutene, Diisostearyl Malate, Shea Butter, Polybutene, Microcrystalline Wax and Synthetic Beeswax. Those are the ingredients an occlusive balm uses to sit on your lip. Palmitoyl Tripeptide 1, the peptide the product is named after, sits near the back of the list. Nothing in cosmetic regulation forces a brand to say how much of a listed ingredient is in a jar, and rhode does not say.

We read the ingredient lists of 3 rhode products on rhodeskin.com on October 7, 2026. The Glazing Milk opens with water, C12 to 15 alkyl benzoate, coconut alkanes, glycerin and polyglyceryl 3 oleate, with ceramides NP, AP and EOP named further down the list. The Barrier Restore Cream opens with water, glycerin, caprylic/capric triglyceride, shea butter and behenyl alcohol. It then lists niacinamide and three palmitoyl peptides afterward. These are competent formulas. Any contract manufacturer with a decent catalogue could put them together. The thing being sold at 20 to 32 dollars isn't the molecule. It's the tube and who you associate with the tube.

None of that is a reason not to buy it. People buy things because they like how they look. It's a reason to notice what the money is for.

What is actually going on with the Sephora Europe launch?

The August 31, 2026 release set the date and the shape. Online across Europe and in person at Sephora in 19 countries. More than 500 stores. Select Paris, Milan, Berlin and Madrid locations get custom builds and 3D installations. The launch mix covers the core skincare line, Pocket Blush, Pocket Bronze and Highlight Milk, plus limited edition summer items the brand had previewed at pop ups in Amalfi and Copenhagen in July and August 2026.

Here is the piece that's easy to miss. rhode had been at Sephora in the United States, Canada and the United Kingdom already. The European expansion is the first time the brand is shelf facing in the European Union, which runs a different cosmetic regulation regime than the United States. The EU Cosmetic Regulation 1223/2009 bans or restricts more than 1,300 substances, versus a shorter list under the Modernization of Cosmetics Regulation Act of 2022 in the United States. For a brand already running on short modern formulas, this isn't a reformulation story. It's a packaging and labelling story.

The business story is louder. e.l.f. paid up to a billion dollars for a brand that was selling almost entirely to Americans online. In 15 months e.l.f. put it on a shelf in 19 countries. The next earnout tranche depends on rhode hitting a revenue target. This isn't a nice to have. It's the plan.

What should a shopper actually do with this?

Not much, if you already like the balm.

If you're deciding whether to try rhode because it just showed up at your Sephora, three things are worth knowing. First, the brand isn't independent. The pricing is a public company's pricing. Second, the ingredient order on these products is public and worth a glance before you spend 20 dollars on a tube. If an ingredient is listed after Tocopherol in a lip balm, there's very little of it in there. Third, e.l.f. owns rhode now and also owns Naturium and Keys Soulcare. The same company behind this launch is behind other brands sitting on nearby shelves. The same pattern is happening at Neutrogena, where Kenvue is being bought by Kimberly Clark, and at Topicals, where the founder just stepped into a chair role.

I'm not going to tell you if a 20 dollar lip balm is worth it. It is to Hailey Bieber. It was to e.l.f. It might be to you. The point is that the people who get to decide what a tube is worth include everyone whose name is on the back of it, including the one you didn't read. The next time a brand you like shows up at a new retailer or at a new price, it's worth checking whether anything else about it changed too. Usually something has. Sometimes that something is who gets paid when you check out.

"We've admired what Hailey and the team have built at rhode," the company said in its May 2025 release. "It's one of the most authentic and influential brands we've seen."

That's the sentence a billion dollars bought.
